Terms of Service

These Terms of Service ("Terms") govern your use of Dealgrip ("Service"), operated by Dealgrip, Inc. By using the Service you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

Dealgrip provides an AI-powered phone receptionist that answers inbound calls, captures leads, and sends follow-up communications on your business's behalf. The Service requires a Dealgrip-provisioned phone number and an active subscription.

2. Subscriptions & Billing

Dealgrip is offered on monthly or annual subscriptions at published rates. Subscriptions renew automatically. You can cancel at any time; cancellation takes effect at the end of the current billing period. No refunds for partial periods except where required by law.

Call limits apply per tier. Calls beyond the limit are not answered until the next billing period unless you upgrade.

3. Your Responsibilities

• You are responsible for compliance with all laws governing call recording, including state two-party consent laws.
• You must configure your AI greeting to include required call-recording disclosures if your state requires them.
• You must not use the Service to harass, defraud, or violate the rights of callers.
• You must not use the Service to collect protected health information (PHI) without a signed BAA with us.
• You are responsible for the accuracy of your business configuration (hours, services, scripts).

4. Acceptable Use

You may not use the Service to:

• Make or facilitate illegal robocalls or spam
• Impersonate another business or person
• Circumvent Twilio's usage policies
• Process payment card information through AI calls

5. Your Data

You own your call recordings, transcripts, and lead data. We process this data to operate the Service on your behalf. See our Privacy Policy for details. You can export or delete your data at any time from your account settings.

6. Uptime & SLA

We target 99.9% monthly uptime for call answering. Planned maintenance is communicated at least 24 hours in advance. For enterprise plans ($299/mo), we provide an SLA with credit remedies for downtime below 99.9%.

7. Limitation of Liability

The Service is provided "as is." To the maximum extent permitted by law, our total liability to you for any claim arising from use of the Service is limited to the fees you paid in the preceding 12 months. We are not liable for missed calls due to Twilio outages, OpenAI outages, or events outside our control.

8. Indemnification

You agree to indemnify Dealgrip against claims arising from your violation of these Terms, your use of the Service in breach of applicable law, or your misconfigurations of the AI system.

9. Termination

We may suspend or terminate your account for material violation of these Terms, non-payment, or illegal use. We'll give you 30 days' notice for non-emergency suspensions. Emergency suspensions (abuse, security incidents) may be immediate.

10. Changes

We may update these Terms with 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
